Welcome to Prodg Software Development ("Prodg," "we," "us," or "our"). These Terms and Conditions govern your access to and use of our website, services, and software solutions. By using our services, you agree to comply with and be bound by these terms. If you do not agree, please do not use our services.

These Terms and Conditions aim to protect Prodg from fraudulent claims, abuse, and legal risks while ensuring that all engagements are conducted professionally and fairly.

1. Definitions

  • "Client" / "You" refers to any individual, business, or entity engaging with Prodg. for services.
  • "Services" refers to software development, blockchain development, AI solutions, web and mobile applications, UI/UX design, and consulting services provided by Prodg.
  • "Agreement" refers to any signed contract, proposal, or legally binding agreement between the Client and Prodg.
  • "Deliverables" refers to all software, code, documentation, and digital assets provided to the Client.
  • "Confidential Information" refers to any proprietary or sensitive data shared between parties.

2. Eligibility

  • You must be at least 18 years old to engage with our services.
  • By using our services, you confirm that you have the legal authority to enter into binding contracts.

3. Scope of Services

Prodg provides software development and consulting services, including but not limited to:

  • Blockchain development
  • Web and mobile application development
  • AI solutions
  • UI/UX design
  • Custom software solutions

All services are delivered based on custom agreements, and no warranties are implied beyond what is specified in each contract.

4. Payment Terms & Financial Transactions

4.1 Accepted Payment Methods

Prodg. accepts:

  • International Bank Transfers
  • Credit/Debit Cards (processed securely through PCI-compliant providers)
  • Cryptocurrency Payments (Bitcoin, Ethereum, USDT, and selected cryptocurrencies)

4.2 Payment Obligations

  • Clients agree to pay all invoices on time, according to the agreed-upon terms in their contract.
  • Late payments may result in delays, project suspension, or termination.
  • Payments are non-refundable, except in cases where a written agreement allows for refunds.
  • Cryptocurrency payments are final and non-reversible once confirmed on the blockchain.

4.3 Chargebacks and Fraudulent Claims

  • Chargebacks or payment disputes will result in immediate termination of services and possible legal action.
  • If fraudulent activity is detected, Prodg. reserves the right to report such incidents to relevant authorities, financial institutions, and payment processors.

5. Intellectual Property & Ownership

5.1 Ownership Rights

  • <strong>Custom Software & Code:</strong> Ownership of deliverables will be transferred to the Client only upon full payment.
  • <strong>Pre-Built Solutions:</strong> Prodg. retains all intellectual property rights to proprietary tools, frameworks, and reusable code.
  • <strong>AI & Blockchain Solutions:</strong> Unless stated otherwise in the contract, Prodg. retains rights to AI models, blockchain smart contracts, and algorithms developed.

5.2 License for Use

  • Clients may not resell, distribute, or modify deliverables without written permission.
  • Unauthorized use, modification, or redistribution of Prodg.'s intellectual property will result in legal action.

6. Confidentiality & Data Protection

6.1 Client Data & Confidentiality

  • Both parties agree to keep Confidential Information secure and not disclose it to unauthorized third parties.
  • Client data will be stored securely and used only for the purposes outlined in the Privacy Policy.

6.2 Data Breach & Liability

While Prodg implements enterprise-grade security measures, we are not liable for data breaches caused by:

  • Client-side vulnerabilities (e.g., weak passwords, hacked accounts).
  • Third-party service providers beyond our control.

7. Project Timelines & Deliverables

7.1 Development & Delivery

  • All project timelines will be outlined in each contract.
  • Delays caused by the Client, such as slow feedback or failure to provide necessary resources, will not be the responsibility of Prodg.
  • Prodg. reserves the right to adjust deadlines if project scope changes or unforeseen issues arise.

7.2 Testing & Quality Assurance

  • Deliverables will undergo extensive testing before deployment.
  • Clients are responsible for reviewing and approving all final deliverables within the agreed timeframe.

7.3 Revisions & Scope Changes

  • Minor revisions are included in most contracts.
  • Major changes after project completion may require additional fees and a revised agreement.

8. Limitation of Liability

  • Prodg. is not liable for any indirect, incidental, or consequential damages related to service use.
  • We do not guarantee specific results (e.g., increased revenue, customer acquisition) unless explicitly stated in the contract.
  • Clients assume all risks associated with third-party integrations, APIs, and open-source software used in their projects.

9. Service Termination & Dispute Resolution

9.1 Termination by Client

  • Clients may terminate services with written notice, subject to cancellation fees as outlined in their contract.
  • No refunds will be issued for services already rendered.

9.2 Termination by Prodg.

We reserve the right to terminate services immediately if:

  • The Client violates these Terms and Conditions.
  • Fraudulent activity or chargebacks are detected.
  • The Client engages in unethical, illegal, or harmful activities using Prodg.'s software.

9.3 Dispute Resolution

  • In the event of a dispute, both parties agree to attempt resolution through negotiation before pursuing legal action.
  • If unresolved, disputes will be governed by the laws of the United States and settled in the appropriate jurisdiction.

10. Client Responsibilities

Clients agree to:

  • Provide timely feedback and necessary resources for project completion.
  • Use Prodg.'s software legally and ethically.
  • Not engage in activities that violate laws, regulations, or third-party rights.

Failure to comply may result in service termination and legal action.

11. Warranty & Disclaimer

  • Prodg. provides services "AS IS" with no guarantees or warranties beyond what is explicitly stated in the contract.
  • We do not guarantee that software will be completely bug-free, but we offer post-launch support as specified in each agreement.

12. Updates to These Terms

We may update these Terms and Conditions periodically. Continued use of our services after updates constitutes acceptance of the new terms.
